The Corporate Paralegal will (i) oversee formation of legal entities and preparation and maintenance of corporate records for the Group’s domestic and foreign subsidiaries; (ii) develop and manage corporate processes (iii) provide high level support with litigation, bankruptcy, trademarks, and other legal matters; (iv) receive, log and distribute subpoenas, levies, service of process and other legally significant documents; (v) supervise file system and records retention for designated Group companies; and (vi) help ensure compliance with the Group’s policy efforts on a global basis in areas of record retention and document management. The Corporate Paralegal is required to interface with internal and external counsel and government entities, both domestically and internationally.
Assists and provides support to Group attorneys and other team members. Responsibilities include: maintaining contract templates, basic contract review and preparation, maintaining and organizing corporate records, developing, implementing, and managing corporate processes, litigation support, and managing outside counsel billing. The position will provide administrative support and support Group policy efforts on a global basis. The Corporate Paralegal will be required to work with Group business units, functional units, and other stakeholders, and with internal and external counsel and consultants, both domestically and internationally.
This position is responsible for, but not limited to, the following:
- Responsible for preparation, organization and maintenance of all corporate records.
- Draft board resolutions and consents. Review and recommend board members/officers for annual elections.
- Managing corporate secretarial obligations and processes.
- Extensive contact and advice given to Finance, Treasury, and outside counsel throughout the world regarding preparation of banking powers of attorney, bank mandates and other corporate documents.
- Management of legal agents in multiple jurisdictions in which the company does business, including receive, review and coordination with internal and external counsel and Risk Management with respect to all Summons & Complaints, Motions, Notices and other court pleadings.
- Work with Legal team and outside counsel to review and recommend registration and renewals of Intellectual Property.
- Assist Finance in collection of claims in bankruptcy proceedings.
- Coordination of formation and liquidation of US and Foreign entities and related drafting as required.
- Work to ensure continuing compliance across multiple jurisdictions.
- Work with Tax and Payroll regarding entity registrations and qualifications of state agencies; assist in preparation of Annual Reports.
- Respond to stakeholder requests globally with regards to drafting and legalization of powers of attorney, sworn statements, certifications and other legal documents.
- Responsible for maintaining legal department file room, ensuring that all files are entered into legal database for tracking and safekeeping and that documents are correctly filed.
- Other requirements necessary to support a global company and its Legal team.
- Manage records storage vendor contracts and inventory to minimize costs.
- Manage corporate secretarial vendor(s) and multijurisdictional corporate obligations.
- Support stakeholders with legal documentation and processing, including corporate and regulatory filings where required.
- Support Legal and Risk Management teams with processing subpoenas and other discovery requests, corporate structure, entity management and project work as assigned.
- Provide timely and accurate information to company board members and officers.
- Coordinate with external counsel for registration and renewal of intellectual property and other requirements as may arise.
- Operate as Subject Matter Expert on record retention and corporate secretarial matters.
- Develop and manage relevant filing systems including electronic indexes.
- Bachelor's Degree or equivalent combination of education and experience
- Paralegal Certificate required
- Minimum of 5 years in legal environment (law firm/in-house)
